Name

The name of the association is Bowraville Community Development Association Incorporated (BCDAI).

Objects

The objects for which the association is established are:

  • To operate as a not-for-profit organisation trading under the name ‘The Bowraville Pioneer Community Centre’
  • To promote and foster community involvement in, use of and access to The Bowraville Pioneer Community Centre
  • To contribute to development of the community using our own resources or in cooperation with other organisations, groups and individuals
  • To manage the assets of BCDAI, including The Bowraville Pioneer Community Centre, on behalf of the community

Powers

The association has the power to:

  • Acquire, hold, deal with and dispose of property
  • Open and operate bank accounts
  • Invest money in any security in which trust monies may lawfully be invested
  • Borrow money and give security for the repayment of money borrowed
  • Enter into contracts
  • Act as trustee and accept and hold property on trust

Membership

Eligibility for Membership

Membership is open to any person who:

  • Supports the objects of the association
  • Is willing to comply with the constitution and by-laws
  • Has been accepted for membership by the management committee

Categories of Membership

  1. Ordinary Members - Full voting rights
  2. Associate Members - Limited voting rights as determined by the management committee
  3. Life Members - As awarded by special resolution

Management Committee

The management committee consists of:

  • President
  • Vice-President
  • Secretary
  • Treasurer
  • Up to 5 additional committee members

Duties of Office Bearers

President:

  • Chair all meetings
  • Represent the association publicly
  • Ensure proper conduct of association business

Secretary:

  • Maintain membership records
  • Conduct correspondence
  • Prepare meeting minutes
  • Lodge required documents with regulatory bodies

Treasurer:

  • Maintain financial records
  • Prepare financial reports
  • Manage banking arrangements
  • Oversee financial compliance

General Meetings

Annual General Meeting

The association must hold an Annual General Meeting within 6 months of the end of each financial year.

Special General Meetings

Special general meetings may be called by:

  • The management committee
  • Written request from at least 10% of members

Quorum

The quorum for general meetings is 10 members or 25% of the membership, whichever is less.

Financial Management

Financial Year

The financial year runs from 1 July to 30 June.

Financial Records

The association must:

  • Keep proper books of account
  • Prepare annual financial statements
  • Have accounts audited or reviewed as required by law
  • Present financial reports to the Annual General Meeting

Use of Funds

All funds must be used solely for the objects of the association. No portion of the income or property may be paid or transferred to members except for:

  • Reasonable remuneration for services rendered
  • Reimbursement of expenses properly incurred

Amendment of Constitution

This constitution may only be amended by special resolution at a general meeting, requiring:

  • 21 days written notice of the proposed amendment
  • A majority of at least 75% of members present and voting
